Setting up a company in Tunisia rarely costs what people expect. Official fees are modest, but they are only part of the bill. The rest depends on who prepares the file, where the company is domiciled, and how many back-and-forths you have with the administration.
This guide breaks down the cost of creating a SARL or a SUARL in Tunisia in 2026, line by line, using the figures published by official bodies and typical market prices. The three cost blocks of a company creation
Add everything up and the cost of creating a company in Tunisia falls into three blocks:
- Official fees paid to the state: registration with the National Business Register (RNE), and registration of the articles of association (statuts) and the lease at the tax office.
- Preparing the file: drafting the statuts, gathering documents, filing and follow-up. This is where prices vary the most.
- Indirect costs: the registered address, signature legalisation, your time, and corrections if the file comes back.
Official fees are the same for everyone, whether you do it yourself or hire a professional. The difference is in the other two blocks.
Official fees, line by line
These are the amounts published by public bodies. They can change: check them when you file.

For a typical SARL, with cash capital and a manager (gérant) named in the statuts, official fees essentially come down to RNE registration and registering the lease or domiciliation certificate. If you rent premises, the amount depends directly on your rent: for rent of 6,000 TND a year, expect 60 TND of registration duty plus stamp duty.
Share capital: plan for it, but it is not an expense
Since law no. 2007-69 of 27 December 2007, article 92 of the Commercial Companies Code simply says that a SARL's capital "is set by its articles of association": there is no longer a legal minimum, and the same applies to the SUARL. Some sources, including the Tunisia Investment Authority (TIA) investor guide, still mention a 1,000 TND minimum. In practice, set a capital that fits your activity and your first expenses: it remains the company's property and funds its activity once it is registered. Only the public limited company (SA) keeps a legal minimum, of 5,000 TND (article 161).
Since law no. 2019-47 of 29 May 2019, the statuts no longer have to name the bank that receives the capital: only the amount and the split of shares are required. The manager cannot use these funds before the company is constituted and registered with the RNE. And if the company is not constituted within six months of the funds being deposited, any partner can ask for them back.

The costs nobody mentions

The rejected file

The registered address
The company needs a registered office. According to the APII list, three options are accepted: a registered lease, a domiciliation certificate issued by a licensed domiciliation provider, or a written undertaking with a certificate of ownership if you use a personal address. The cost ranges from nothing (personal address) to a monthly subscription with a provider.
Signatures and the power of attorney
