An activity described vaguely, or one that doesn't match any recognised activity, is one of the first causes of correction requests. Describe your main activity in simple, concrete terms.

What slows your incorporation down

  1. An unregistered lease: it must be registered at the tax office before filing. If more than two months pass between signing and registering, extra charges apply according to the APII.
  2. A regulated activity: if your activity needs prior authorisation or a specifications document, the time to obtain it adds to the timeline.
  3. Contributions in kind: above 3,000 TND per contribution, a contributions auditor must value them, which takes time.

  5. An expired name certificate: after 6 months, you must reserve again, and the name may have been taken in the meantime.

When does the company really exist?

Under article 103 of the Commercial Companies Code, a SARL is only validly constituted once it is registered. Before that, it is "in the course of formation" and treated as a de facto general partnership: partners don't yet have the protection of limited liability.

In practice, wait for registration before signing major contracts in the company's name, hiring, or using the capital: the manager cannot use the capital before incorporation and registration.

A realistic schedule

Two partners in Tunisia create a services SARL, using a personal address as registered office, with a complete file:

  • Days 1 to 3: choose the form, reserve the name, draft the statuts.
  • Days 4 to 5: sign the statuts, prepare the undertaking and certificate of ownership.
  • Days 6 to 12: file online, tax ID and RNE registration, within the 3 to 7 working-day range.

If one partner lives abroad, add the time for the power of attorney or for obtaining their digital identity.
